Terms & Conditions

By signing up to the SuiteTreat Referral Program (“STRP”), you agree to the following terms and conditions with respect to your SuiteTreat Referral Account (“STR Account”). Use of SuiteTreat Referral Code or Referral Link (“STR Code or Link”) and your account access at the SuiteTreat Portal (“ST Portal”), as well as redemption of any SuiteTreat rewards (“ST Rewards”), will constitute your consent to these terms and conditions.

The following Document is a Contract and a legally binding Agreement. You must read the entire Terms and Conditions (“Terms & Conditions”) carefully before using your STR Code or Link, or accessing the ST Portal, or redeeming ST Rewards. By using your STR Code or Link, accessing the ST Portal, or redeeming ST Rewards, you confirm your acceptance of, and agree to be bound by, all of the conditions of use set forth in this Agreement. Please DO NOT use your STR Code or Link, or access the ST Portal, or redeem ST Rewards, if you do not accept all the terms and conditions stated herein and at other places (including FAQ’s and Privacy & Security section) on this website.

This SuiteTreat Referral Program is sponsored and administered by OneSuite Corporation (“OneSuite”) located at 168 W Pomona Av, Monrovia, CA 91016. The STRP is governed by these terms and conditions, as further described and located on the website located at [insert URL], or its successor site as designated by OneSuite. By voluntarily clicking the button presented with these terms or participating in the STRP (the “Effective Date”), each Referrer (as defined below) accepts and agrees to comply with these Terms & Conditions (including all Referrer, Referral, and Reward eligibility requirements) and any decision OneSuite makes regarding the STRP or these Terms & Conditions, which OneSuite shall make in its sole discretion and shall be final and binding in all respects. Acceptance of the Terms & Conditions in its entirety is required to be considered and participate in the STRP. To the extent permitted by applicable law, OneSuite reserves the right in its sole discretion to modify, suspend, terminate, or cancel the STRP at any time by amending these Terms & Conditions and publishing them on its website or the ST Portal. Following any modification to the Terms & Conditions, Referrer’s continued use of the STRP constitutes acceptance of the amended Terms & Conditions and the STRP as is in full force at the time of said change(s).

Definitions, Interpretation, Construction 

When used in this Agreement, certain terms have the meanings specified under Annex 1 Definitions. In this Agreement, unless the context otherwise requires:

  1. when a reference is made in this Agreement to an Article, Section, Exhibit, Annex or Schedule, such reference is to an Article or Section of, or an Exhibit, Annex or Schedule to, this Agreement unless otherwise indicated;
  2. headings for this Agreement are for reference purposes only and do not affect in any way the meaning or interpretation of this Agreement;
  3. whenever the words “include”, “includes” or “including” are used in this Agreement, they are deemed to be followed by the words “without limitation”;
  4. the words “hereof”, “herein” and “hereunder” and words of similar import, when used in this Agreement, refer to this Agreement as a whole and not to any particular provision of this Agreement;
  5. all terms defined in this Agreement have the defined meanings when used in any certificate or other document made or delivered pursuant hereto, unless otherwise defined therein;
  6. the definitions contained in this Agreement are applicable to the singular as well as the plural forms of such terms;
  7. any Law defined or referred to herein or in any agreement or instrument that is referred to herein means such Law or statute as from time to time amended, modified or supplemented, including by succession of comparable successor Laws;
  8. references to a Person are also to its successors and permitted assigns; and
  9. the use of “or” is not intended to be exclusive unless expressly indicated otherwise.

STRP Period

The STRP commences at 12:01 AM Pacific Time on January 1, 2025, and will continue in effect until the time that OneSuite elects to terminate, cancel, or amend the STRP, at its sole discretion (“STRP Period”).

Eligibility

To participate in the STRP, Referrer must: (i) be an active OneSuite Business account holder and/or end user at the time of registration; (ii) be of legal age, as defined under the jurisdiction of their respective registered address; (iii) register and activate an STR Account associated with the Referrer’s valid STR Code or Link; and (iv) not be a Disqualified Referrer, as determined by OneSuite in its sole discretion. 

Registration

To participate in the STRP, Referrer must register and activate an STR Account through their OneSuite Business account portal. It may take up to 24 hours to approve an eligible Referrer, at which time their STR Code or Link will be provided through the ST Portal.

STRP Benefits and Rewards; Redemptions

Referral Benefits; Automatic Redemption

Subject to these Terms and Conditions, OneSuite will offer to each Referral that successfully converts into a OneSuite Business Customer, a 10% discount off the Monthly Recurring Charges (“MRC”) or Qualified Service Charges for up to twelve (12) months, which the Referral cannot combine with any other discounts, offers, or promotions. The discount will be presented at checkout and will be automatically applied to Customer’s Qualified Service Charges every month up to the 12th-month service period, provided Customer’s OneSuite Business Account is, at all times, in good standing and is enrolled in autopay. Referral benefits are mere discounts applied to Qualified Service Charges, do not have a dollar value, may only be used as discount for Qualified Service Charges, and are not transferrable nor convertible to cash.

Referrer Rewards; Redemption

Subject to these Terms and Conditions, for each corresponding Referral and upon completion of the Qualifying Period of the MRC for said Referral, OneSuite will reward Referrer twenty percent (20%) of the value of the MRC or Qualified Service Charges for up to twelve (12) months. Each MRC has a Qualifying Period, and Rewards will be credited to Referrer’s STR Account after each Qualifying Period. Accumulated Rewards will be automatically paid out to Referrer’s designated payment account at a pre-determined schedule at the sole discretion of OneSuite, with a minimum payout of fifty US dollars (US$50). No more than one (1) payout will be allowed over a rolling thirty (30) day period for each STR Account. Referrer may monitor their Referrals and ST Reward status in the ST portal.

Rewards Payout are made in electronic funds and paid to Referrer’s designated Wise or Paypal account. OneSuite reserves the right to add, modify or remove third-party electronic payment services associated with its payout of Rewards Payout, without notice and without liability whatsoever. It is the sole responsibility of Referrer to establish and maintain a payment account under their name with Wise, Paypal, or any other electronic payment services that OneSuite prescribes for this STRP. If, at the time of Rewards Payout, Referrer’s designated payment account is deemed invalid, inappropriate or incompatible with the current third-party electronic payment system prescribed by OneSuite, Referrer’s sole remedy is to establish a new account with the prescribed third-party electronic payment system and update their STR Account profile, after which Referrer may request OneSuite to process their Rewards Payout. Under no circumstance will OneSuite accommodate, allow, approve or otherwise process a payout of Rewards through means other than what is currently prescribed by the STRP.

Referrer acknowledges that OneSuite can change the Rewards at any time, at its sole discretion, without notice or liability to you or any third party. If OneSuite elects to change the Reward during the Program Period, the amount of the Reward you will be entitled to will be the Reward that applies at the time you meet all requirements of the Rewards and the STRP. There is no limit to the number of Rewards that a Referrer may be awarded under this STRP.

Use of STR Code or Link

Nothing in these Terms & Conditions require you to make a Referral, and there are no restrictions on how many Referrals you make. If you choose to share your STR Code or Link, anyone who enters your STR Code or Link on the sign-up form AND successfully signs up to OneSuite Business (collectively, “Referrals”), shall be considered a Successful Referral, subject to the Invalid Referral exceptions set forth below. Your STR Code or Link will remain valid until your STR Account is cancelled or terminated. As a Referrer, and provided you comply with the Prohibited Uses outlined below, you choose the manner how you promote and disseminate your STR Code or Link – you may share it with friends, send it to your email list, post it on your website or social media platforms, and the like. 

All Referrals will become the sole and exclusive property of OneSuite. OneSuite may refuse any Referral that it reasonably believes may violate applicable law or these Terms & Conditions. 

OneSuite is not responsible for: (i) lost, late, delayed, damaged, unintelligible, illegible, misdirected, incomplete, or garbled use of the STR Code or Link; (ii) your Referral’s inability to enter your STR Code or access the STR Link through the internet; (iii) STR Code  or Link and Referral information not captured correctly; (iv) any issues associated with hardware, software, telephone, internet, virus contamination, network, human error, electronic malfunctions, or any other technical problems; or (v) delay, failure or malfunction for any reason. Incomplete or corrupted Referral information are void and will not be accepted. Proof of submission is not automatically proof of receipt.

 

Your STR Account, STR Code or Link, and STR Reward are exclusive to you and are not transferrable to any other Referrer or another STR Account. You forfeit any STR Rewards accumulated when your STR Account is suspended, cancelled or terminated for whatever reason. Subject to OneSuite’s sole discretion, your suspended or cancelled STR Account may be re-activated; HOWEVER, your STR Reward balance will always reset to zero when STR Account is suspended, cancelled or terminated, and OneSuite will not reinstate any forfeited Rewards arising out of suspension, cancellation or termination of an STR Account.  

In the event of a dispute regarding who submitted a particular Referral, the Referral will be deemed submitted by the authorized and registered STR Account holder of the STR Code or Link used by the Referral when successfully signing up for a OneSuite Business account. 

Invalid Referrals

The following shall not be considered a Referral under the STRP, regardless of whether Referrer is notified of the Referral’s status (“Invalid Referrals”): (i) any Referral of an existing OneSuite Business customer or an entity or individual that is currently or was previously a OneSuite Business customer at any time within the 12 months preceding the Referral submission; (ii) any Referral previously submitted, by any participants in the STRP (including you) or any other existing or pre-existing referral or affiliate programs offered by OneSuite, that has not expired; (iii) any Referral of a potential OneSuite Business customer previously submitted or provided to OneSuite by any other party, or otherwise procured by OneSuite Business directly; (iv) any Referral submitted by a Disqualified Referrer; (v) any Referral that does not conform to the definitions of a Customer as defined by OneSuite at its sole discretion; and (vi) any Referral submission generated by a script, macro or other automated means.

Taxes and Other Expenses

YOU ARE SOLELY RESPONSIBLE FOR ALL RELEVANT TAXES ASSOCIATED WITH THE REWARD AND PAYMENT THEREOF. The value of the Reward will be treated as ordinary income to the Reward recipient for income tax purposes, and, when applicable, an IRS Form 1099, or equivalent for eligible foreign countries, for the relevant year will be sent to the Reward recipients if legally required. Additionally, Referrer is solely responsible for any and all incidental expenses and all other costs and expenses Referrer incurs in relation to or arising out of participation in the STRP.

STRP Representations and Warranties and Obligations

Representations and Warranties: 

By participating in this STRP, Referrer represents and warrants that: (i) you have all of the necessary rights, given all necessary notices, and received explicit, informed consent from the Referral regarding this STRP or have sent the STR Code or Link to the Referral, as applicable; (ii) that your Referral contacts are eighteen (18) years of age (or other legal age of majority specified by applicable law) or older; (iii) OneSuite is authorized to use, analyze, modify, and publish your name and any other information provided by you in OneSuite’s sole discretion, including without limitation publication in its marketing and promotional materials or website; (iv) OneSuite is authorized to contact you and your Referrals regarding OneSuite Business offerings, products, and services; (v) OneSuite is authorized to contact you regarding status of your Referrals; and (vi) your participation and activities under the STRP do not violate any applicable laws.

Prohibited Uses of the STRP

You may only use the STRP in good faith and in compliance with applicable laws. You must not participate in the STRP if it is prohibited in the jurisdiction where you reside or work. The following uses are prohibited, and you agree not to use the STRP to do any of the following: (i) creating multiple, duplicate, or fake profiles at the SuiteTreat Portal in order to invite yourself; (ii) using alternative contact information to send STR Codes or  Links to yourself or others; (iii) referring contacts or sending your STR Code or Link to persons who did not solicit your STR Code or Link, or any other sharing or promotion of the STR  Code or Link in a manner that (in OneSuite’s sole and absolute discretion) may constitute or appear to constitute unsolicited commercial communications or “spam”; (iv) sending STR Codes or Links to, or submitting Referrals that are, fictitious or fake persons; (v) impersonating any person or otherwise misrepresenting any person’s identity; (vi) sending STR Codes or Links to persons under the age of eighteen (18) (or other legal age of majority specified by applicable law); (vii) transmitting any unsolicited or unauthorized advertising or promotional material or any other form of similar solicitation (e.g. “spamming”); (viii) interfering with or disrupting any servers, networks, or systems connected to the STRP; (ix) doing anything that harms or damages the brand, goodwill, or reputation of OneSuite or any service providers that assist OneSuite with providing the STRP; (x) transmitting any file that contains viruses, worms, Trojan horses, or any other contaminating or destructive features; (xi) using any automated system, script, or macro to participate in the STRP; (xii) reselling, bartering, trading, auctioning, or otherwise generating income by providing access to the STRP to others; (xiii) infringing the intellectual property rights of OneSuite, its service providers, or any third parties; (xiv) stalking, harassing, or harming any other individual; (xv) using the STRP in any way that OneSuite (in its sole and absolute discretion) considers to be unreasonable, excessive, or in bad faith; (xvi) using the STRP in any way that breaches any applicable law, or that is in any way unlawful, fraudulent, or wrongful, or has any unlawful, fraudulent, or wrongful purpose or effect.

Compliance Matters

Disqualification: 

OneSuite reserves the right, in its sole discretion, to disqualify any Referrer (i) it finds to be tampering with the STRP and its processes, (ii) it believes is referring or contacting persons in a way that constitutes spam or unsolicited or otherwise undesirous communications, (iii) it suspects of fraud, abuse, or breach of the Terms & Conditions (“Disqualifying Event”). OneSuite reserves the right to seek any and all damages for any Disqualifying Event to the fullest extent permitted by law, including without limitation all attorneys’ fees.

Compliance:

OneSuite complies with the federal CAN SPAM Act and the Canadian Anti-Spam Legislation, the Federal Trade Commission’s 16 CFR Part 255 “Guides Concerning the Use of Endorsements and Testimonials in Advertising”, and other applicable law. OneSuite honors requests of consumers and customers who choose to opt out of receiving OneSuite marketing emails or text messages. Accordingly, if you designate a Referral email address or SMS number that has previously opted out of receiving OneSuite marketing emails or text messages, you will be advised that the email address or SMS number is not eligible receive these messages. Bulk email or SMS distribution of STR Codes or Links, or to persons who did not consent to receiving such email or SMS, sharing STR Codes or Links on websites, sharing STR Codes or Links on social media with recipients who did not consent to receive such STR Codes or Links or any other sharing or promotion of STR Codes or Links in a manner that (in OneSuite’s sole and absolute discretion) may constitute or appear to constitute unsolicited commercial communications or “spam” is prohibited. OneSuite reserves the right to terminate the Referrer’s STR Account, deactivate any relevant STR Codes or Links, and to require the Referrer to stop sharing the STR Codes or Links in accordance with these Terms & Conditions, or as OneSuite reasonably determines to be necessary in order to comply with applicable law.

Social Media

If Referrer elects to make any post on any social network (such as, but not limited to, Facebook, X/Twitter, Instagram, Pinterest, TikTok, or LinkedIn) as a part of this STRP, you must do so using your STR Account, if applicable, and you must include, and not delete, any disclosure that your STR Account automatically creates for the post you are making. In the event that no such disclosure is automatically generated for your social network or the social media feature in your STR Account is not applicable to your social network, you must, at a minimum include either “#SuiteTreatReferral” or “#SuiteTreatAffiliate”, whichever is applicable, in any social network posts you make as a part of this STRP. You are responsible for ensuring that your posts on any social network comply with the terms of use of the site, and any other applicable laws, statutes, and regulations.

Anti-bribery:

You represent and warrant that you shall (i) comply with all applicable laws relating to anti-bribery and anti-corruption (“Bribery Laws”), including but not limited to the United States Foreign Corrupt Practices Act (“FCPA”) and the UK Bribery Act 2010; (ii) not engage in any activity, practice, or conduct which would constitute an offense under the FCPA or sections 1, 2, or 6 of the UK Bribery Act 2010 regardless of where such activity, practice, or conduct has been carried out; (iii) immediately notify OneSuite in writing if you learn or suspect that you are being investigated by any law enforcement agency in relation to corrupt practices or any breach of Bribery Laws in connection with your activities hereunder; and (iv) not do any act (including acts of omission) that will cause or lead OneSuite to be in breach of any Bribery Laws. Without limiting the generality of the foregoing, you will not submit any Referrals where you have been retained to provide consulting, systems integration, or neutral/objective advice to a governmental entity or a prime or subcontractor under a governmental contract. You shall make all required disclosures to any actual or potential Referrals, including government (including local government) customers, education end users, and customers purchasing products or services that will be reimbursed under a government program or grant, in each case, describing all potential Rewards you may claim under the STRP. You certify that (a) you are not a government entity, (b) you have not accepted any Rewards under the STRP to the extent that they relate to your performance of a government contract requiring you to provide neutral or unbiased advice to the government with respect to the types of technology products and solutions provided by OneSuite, and (c) your acceptance of Rewards under the STRP shall not violate any government rules or regulations, including those relating to conflicts of interest or kickbacks. You further acknowledge and agree that OneSuite may elect to withhold or delay any Reward to which you may be otherwise entitled hereunder (1) if OneSuite develops a reasonable suspicion that any part of this certification was or has become inaccurate, (2) if you or OneSuite becomes the target of any government action or investigation in any way relating to the STRP, or (3) OneSuite decides in its sole discretion to discontinue the STRP due to a change in the regulatory environment.

Verification of Compliance

You agree to provide all reasonable information, cooperation, and assistance that OneSuite requests in connection with any review or assessment of your compliance with these Terms & Conditions.

Limitations of Liability and Indemnification

Disclaimer

TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, ONESUITE AND ITS AFFILIATES DISCLAIM ALL GUARANTEES AND/OR WARRANTIES, EXPRESS OR IMPLIED WITH RESPECT TO THE STRP OR REWARDS, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

Excluded Damages

TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL ONESUITE OR ITS AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, WHETHER ARISING UNDER CONTRACT, WARRANTY, OR TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY) OR ANY OTHER THEORY OF LIABILITY, EVEN IF SUCH PARTY HAS BEEN INFORMED IN ADVANCE OF SUCH DAMAGES OR SUCH DAMAGES COULD HAVE BEEN REASONABLY FORESEEN. ONESUITE’S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT FOR ANY AND ALL DAMAGES, REGARDLESS OF THE FORM OF THE ACTION, SHALL BE LIMITED AND CAPPED IN ITS ENTIRETY AT ONE HUNDRED DOLLARS ($100.00).

Indemnification 

Referrer hereby agrees to release, indemnify, and hold harmless OneSuite and all OneSuite affiliated entities from any and all losses, liabilities, claims, damages, and expenses (including, without limitation, collection fees, court costs, and reasonable attorneys’ fees) (i) in the event that you breach these Terms & Conditions, and (ii) that may arise from your use of social media or other applicable medium for the sharing of your STR Code or Link.

Term; Termination

Term 

The term of this agreement between OneSuite and you will commence on the Effective Date and will remain in effect until terminated under this section. Any notice of termination of this agreement by either party to the other must include an effective date of termination (“Termination Date”) that complies with the notice periods in this section.

Termination:

You may terminate this Agreement for any reason by providing OneSuite notice and closing your STR Account. OneSuite may terminate this Agreement with you for any reason by providing you with at least 30 days’ advance notice. Either party may terminate this Agreement for cause if the other party is in material breach of this Agreement and the material breach remains uncured for a period of 30 days from receipt of notice by the other party. No later than the Termination Date, you will close your account. OneSuite may also terminate this Agreement immediately upon notice to you (i) if our relationship with a third-party partner who provides products, software, or other technology OneSuite uses to run the STRP expires, terminates, or requires OneSuite to change the way OneSuite runs the STRP; (ii) in order to comply with the law or requests of governmental entities; or (iii) as a result of a Disqualifying Event.

Effect of Termination

Upon the Termination Date, (i) all your rights under these Terms & Conditions immediately terminate; and (ii) below provisions will continue to apply in accordance with their terms:

  • Annex 1
  • Use of STR Link or Code
  • Taxes and Other Expenses
  • STRP Representations and Warranties and Obligations / Account Security
  • Limitations of Liability and Indemnification
  • Effect of Termination

Miscellaneous

Governing Law and Venue

This STRP and Terms & Conditions shall be governed by the laws of California without giving effect to its rules on conflicts of laws, and the parties to this agreement consent to the exclusive jurisdiction of the state and federal courts of Los Angeles County; provided, however, if required by applicable law or the order of a competent court, the law and non-exclusive jurisdiction of the courts of the Referral’s place of residence shall apply.

Severability

If any provision of this STRP or Terms & Conditions is deemed to violate any law, it shall be amended to conform to such law or, if it is not capable of being amended to conform, stricken, and all other provisions shall remain in full force and effect.

No Third-Party Endorsement

This STRP is sponsored and administered exclusively by OneSuite and is in no way sponsored, endorsed, administered by or associated with Facebook, LinkedIn, X/Twitter, TikTok or any other company.

Privacy Policy

Personal information submitted for this STRP will be subject to OneSuite’s Privacy Policy, as amended from time to time, and posted at https://onesuitebusiness.com/privacy-policy

No Third-Party Beneficiaries:

OneSuite and Referrer agree that there will be no third-party beneficiaries to these Terms & Conditions.

Assignment and/or Transfer Restrictions

Referrer shall not assign or transfer any rights or obligations under these Terms & Conditions. OneSuite reserves the right, at its sole discretion, to assign or transfer these Terms & Conditions, including the STRP, without prior notice or liability to Referrer.

 

ANNEX 1

Definitions

“Administrative Fees” means any E911 fees and cost recovery fees and similar administrative fees charged by OneSuite Business to a Customer.

“Customer” means a company, or individual, validly referred to OneSuite Business by the Referrer, that (i) becomes a OneSuite Business customer by successfully signing up any service with OneSuite Business during the Program Period and continues to receive services with Qualified Service Charges from OneSuite Business pursuant to OneSuite Business terms and conditions; (ii) remains a OneSuite Business customer in good standing; (iii) has not received any free service credits or other free service from OneSuite Business; (iv) has made valid payment of fees due to OneSuite Business for at least two (2) months of service; and (v) is current in payment.

“Disqualified Referrer” means any person determined by OneSuite to either be in breach of these Terms & Conditions or otherwise prohibited by these Terms & Conditions from participating in the STRP.

“MRC” means the then-current total amount of monthly recurring subscription fee portion of revenue (or, if paid based on a different frequency, the recurring subscription fee portion of revenue calculated on a monthly basis) attributable to the Qualifying Services paid to OneSuite Business or its affiliates with respect to a Qualified Sale; provided that, for the avoidance of doubt, MRC (i) shall exclude (a) any revenue from One-Time Charges; (b) any sales, use, value added, or other Taxes paid on behalf of or to OneSuite Business by Customer; (c) Administrative Fees; and (d) any costs and expenses reimbursed to OneSuite Business; and (ii) shall be calculated after giving effect to, and net of, any credits, refunds, discounts, and other reductions in respect of such Qualified Sale.

“One-Time Charges” means any charges billed to the Customer for one-time or non-recurring transactions or services (including set-up, installation, professional services, sales of handsets and other equipment) and other one-time charges and services (including usage-based charges and any other special charges).

“Qualifying Period” means a period of sixty (60) days from the date that a Referral that becomes a Customer pays their MRC for any given monthly subscription period.

“Qualified Sale” means the initial sale of units of Qualifying Services during the Program Period to a Customer. A Qualified Sale only occurs if the Referral executes a contract with OneSuite Business for the sale of units of the Qualifying Services for such entity’s own use and not for resale.

 “Qualifying Service Charge” means any recurring service charge currently levied by OneSuite for OneSuite Business services. One-time fees, balance recharge, usage charges, administrative fees, and taxes and surcharges are excluded. Registration and activation of trial or promotional free accounts for OneSuite Business or other applicable services (in OneSuite Business’s sole discretion) do not constitute a Qualifying Service under the STRP.

“Referral” means a company or individual who is a new potential Customer and who used your your STR Code or Link when they signed up with OneSuite Business.

 “STR Code or Link” means a unique code or URL provided by OneSuite through the SuiteTreat Portal, which you can share with Referrals, that is associated solely with your STR Account, and used by Referral when registering an account with OneSuite Business.  

“Referrer” means an individual or entity that: (i) accepts the STRP Terms & Conditions and (ii) meets the eligibility requirements set forth in these Terms & Conditions.

 “Taxes” means any and all federal, state, local, municipal, foreign, and other taxes and fees, including any sales, use, excise, telecom, value added and similar taxes, and all duties or governmental impositions, including, but not limited to, Universal Service Fund (“USF”), telecom relay service (“TRS”), and 911 taxes and fees.
